Terms and Conditions for Suppliers to Farla Medical Healthcare
1. Introduction
These Terms and Conditions ("Terms") govern the relationship between suppliers ("Supplier" or "you") and Farla Medical Healthcare ("Farla Medical," "we," "us," or "our") regarding the supply of products and services. By entering into a supply agreement with Farla Medical, you agree to comply with these Terms.
2. Supplier Obligations
2.1 Compliance with Laws
The Supplier must comply with all applicable laws, regulations, and industry standards in the manufacture, packaging, labeling, and delivery of products and services to Farla Medical.
2.2 Quality Assurance
The Supplier shall ensure that all products and services meet the quality standards specified by Farla Medical and are free from defects. The Supplier must maintain appropriate quality control and testing procedures.
2.3 Documentation
The Supplier must provide all necessary documentation, including but not limited to certificates of analysis, material safety data sheets (MSDS), and certificates of compliance, as required by Farla Medical.
2.4 Ethical Standards
The Supplier shall conduct its business in an ethical manner, adhering to principles of fairness, transparency, and integrity. The Supplier must not engage in any form of bribery, corruption, or unethical practices.
3. Orders and Delivery
3.1 Purchase Orders
All purchases made by Farla Medical shall be governed by written purchase orders issued by Farla Medical. No work shall commence, and no products shall be shipped without a valid purchase order.
3.2 Delivery
The Supplier must deliver products and services in accordance with the delivery schedule specified in the purchase order. Time is of the essence, and late deliveries may be subject to penalties.
3.3 Risk of Loss
Risk of loss and damage to products shall remain with the Supplier until delivery and acceptance by Farla Medical at the specified delivery location.
3.4 Proof of Delivery
- All signatures on Proof of Delivery (POD) notes, whether on paper documents or on electronic tablets, do not constitute acceptance of the delivered goods.
- Goods received are considered in an unchecked status upon delivery.
- Farla Medical Healthcare reserves the right to inspect the goods for quality, packaging damages, incorrect product codes, and other issues for up to 5 working days from the date of delivery.
3.5 Artwork and Packaging Approval
- Farla Medical Healthcare will not be responsible for, nor will it accept, any products that have not had their artwork and packaging designs formally approved in writing prior to production by both the Farla Medical QA and Marketing teams.
- Any and all costs associated with incorrect, incomplete, or non-approved product packaging—including rework, reprinting, relabeling, repackaging, or full product replacement—will be borne solely by the Supplier.
- Suppliers must not commence full production until formal written sign-off has been received from both the QA and Marketing departments.
3.6 Delivery Location and Responsibility
Farla Medical Healthcare will not accept responsibility for any deliveries or parcels that are not delivered to Loading Bay 1 at our warehouse and are not signed for by a Farla Medical Healthcare employee.
4. Inspection and Acceptance
- Farla Medical Healthcare will review goods received during a 5 working days inspection window following delivery to ensure they meet quality, packaging, and specification standards.
- Acceptance of goods is contingent upon successful inspection and verification of correct packaging, labeling, product codes, and compliance with the approved pre-production artwork.
- Any goods found defective, damaged, incorrectly packaged, mislabeled, or deviating from the approved specifications will be reported to the Supplier.
- Farla Medical Healthcare reserves the right to reject and return any non-compliant goods at the Supplier’s cost, including all associated logistics and handling costs.
5. Pricing and Payment
5.1 Pricing
Prices for products and services shall be as specified in the purchase order. The Supplier shall not increase prices without the prior written consent of Farla Medical.
5.2 Invoicing
The Supplier shall invoice Farla Medical promptly upon delivery of products or completion of services. Invoices must reference the relevant purchase order number and provide detailed information on the delivered items or services.
5.3 Payment Terms
Farla Medical shall pay invoices within 60 days of receipt, provided that the invoice is accurate and all delivered products or services conform to the purchase order.
6. Warranties
6.1 Product Warranty
The Supplier warrants that all products supplied to Farla Medical shall be free from defects in materials and workmanship and shall conform to the specifications provided by Farla Medical for a period of 2 years from the date of delivery.
6.2 Service Warranty
The Supplier warrants that all services provided to Farla Medical shall be performed in a professional and workmanlike manner, in accordance with industry standards and Farla Medical's specifications.
7. Modern Slavery Act Compliance
7.1 Compliance Requirements
- Suppliers must comply with the Modern Slavery Act 2015 available at [Modern Slavery Act 2015](http://www.legislation.gov.uk/ukpga/2015/30/contents/enacted).
- Suppliers are required to adhere to Farla Medical Healthcare’s Anti-Slavery and Human Trafficking Policy which can be found here: anti-modern-slavery-statement.pdf
- Suppliers must ensure that their operations and supply chains are free from modern slavery and human trafficking.
- Suppliers must take steps to ensure that their own suppliers and subcontractors also comply with these standards.
8. Non-Compliance and Remediation
8.1 Remediation Actions
- If Farla Medical Healthcare identifies any breach of these terms, including non-compliance with the Modern Slavery Act or our Anti-Slavery and Human Trafficking Policy, we will take appropriate action.
- Actions may include but are not limited to requiring the Supplier to implement corrective measures, conducting audits, or terminating the business relationship.
9. Indemnification
The Supplier agrees to indemnify, defend, and hold harmless Farla Medical, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses arising out of or in connection with the Supplier's breach of these Terms, negligence, or willful misconduct.
10. Confidentiality
The Supplier shall keep confidential all non-public information disclosed by Farla Medical and shall not use such information for any purpose other than fulfilling its obligations under these Terms.
11. Termination
11.1 Termination for Convenience
Farla Medical may terminate any purchase order or supply agreement for convenience upon 30 days written notice to the Supplier.
11.2 Termination for Cause
Farla Medical may terminate any purchase order or supply agreement immediately upon written notice if the Supplier breaches any provision of these Terms and fails to cure such breach within 30 days after receiving notice of the breach.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, England, without regard to its conflict of law principles.
13. Dispute Resolution
Any disputes arising out of or in connection with these Terms shall be resolved through good faith negotiations between the parties. If the parties cannot resolve the dispute through negotiation, the dispute shall be submitted to arbitration initially and then mediation if required in London, England.
14. Miscellaneous
14.1 Entire Agreement
These Terms, together with any purchase orders and supply agreements, constitute the entire agreement between the parties and supersede all prior agreements and understandings.
14.2 Amendments
Any amendments to these Terms must be in writing and signed by authorized representatives of both parties. Farla Medical Healthcare also reserves the right to amend these Terms at any time, with notification provided to Suppliers in writing.
14.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
14.4 Waiver
The failure of Farla Medical to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
